SOUTH BEACH COMEDY FESTIVAL SWEEPSTAKES
OFFICIAL RULES

A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING.

1. ELIGIBILITY: Comedy Central’s South Beach Comedy Festival Sweepstakes (the “Sweepstakes”) is open to individuals 21 years of age or older at time of entry who are legal residents of the 50 United States and the District of Columbia. Employees, officers and directors of Comedy Partners (the “Sponsor”), its promotional partners Kia Motors America, Inc, Taco Bell Corp. and AT&T (“Promotional Partners”), Viacom International Inc., Promotion Mechanics, Inc. (the “Administrator”), their respective parent companies, affiliates, subsidiaries, advertising and promotional agencies, and their respective representatives and agents (collectively, the “Sweepstakes Entities”), and the immediate families (spouses, siblings, children and parents, regardless of where they live) or members of the same households (whether related or not) of such individuals at any time during this Sweepstakes are not eligible to participate. Void in Puerto Rico and where prohibited by law.

2. TO ENTER: The Sweepstakes begins at 12:00 Noon Eastern Time (“ET”) on October 27, 2008 and ends at 11:59 AM ET on December 8, 2008 (the “Sweepstakes Period”). To enter, go to www.comedycentral.com and click on the South Beach Comedy Festival link to access the Sweepstakes entry page. Complete and submit the online entry form so that it is received no later than 11:59 AM ET on December 8, 2008. Limit one (1) entry per person or email address per day. In the event duplicate entries are received from any one person or email address in the same day, the first entry processed will be considered the only valid entry received. Entries that do not comply with these Official Rules or are incomplete, illegible, or corrupted are void and will not be accepted.

3. FINALIST RANDOM DRAWING: On or about December 10, 2008, the Administrator, an independent judging organization, will conduct a random drawing to select five (5) finalists (the “Finalists”) from among all eligible entries received. The Finalists will be contacted by phone, email and/or overnight courier on or about December 11, 2008 and will be invited to compete in the South Beach Comedy Festival final round test (the “Final Round Test” as described in Paragraph 4 below) for a chance to win the Grand Prize. Each potential Finalist will be screened for compliance with eligibility criteria and his/her willingness to participate in the Final Round.

Inability to contact a potential Finalist may result in that Finalist’s opportunity being forfeited and awarded to an alternate Finalist. Odds of winning a Finalist prize depend on the number of eligible entries received. Sponsor reserves the right to select additional Finalists for consideration if needed as determined in Sponsor’s sole discretion.

4. SOUTH BEACH COMEDY FESTIVAL FINAL ROUND: Each Finalist who accepts the invitation to participate in the Final Round Test will be required to participate in a telephone interview with a panel of Comedy Central executives (the “Judges”) who will quiz each Finalist on his/her knowledge of stand-up comedy programming and/or talent on Comedy Central. The Finalist who, in the Judges’ sole opinion, displays the greatest knowledge of stand-up comedy programming and/or talent on Comedy Central will be named the winner of the grand prize, subject to eligibility requirements.

5. PRIZES: One (1) grand prize package will be awarded (the “Grand Prize”). Grand Prize to consist of the following: a trip for the winner and one guest to the South Beach Comedy Festival currently scheduled to be held on January 21-24, 2009, in Miami, Florida, including: • round trip coach air travel to Miami for two (2) people from a major commercial airport near winner's residence; • one (1) double occupancy hotel room for five (5) days/four (4) nights; • VIP Passes for winner and guest to various Festival shows and activities (as determined in Sponsor’s sole discretion); • airport to hotel/hotel to airport ground transportation in Miami; and • Two Thousand Dollars ($2,000.00) cash. All other expenses not specified herein are the winner's sole responsibility. Air carriers, hotels and other transportation will be selected by Sponsor. Approximate retail value of Grand Prize: Six Thousand Dollars ($6,000.00). Actual value will be determined by winner's residence and seasonal rates. Travel, accommodations and activities are subject to availability and certain restrictions. Winner and guest must travel on the same itinerary and will be responsible for all necessary travel authorizations and for any travel insurance. Winner’s guest must be 21 years of age or older before date of travel to Miami, FL. In the event that the Sponsor chooses to film or record the Festival activities, the winner and guest may be required to execute a consent form granting Sponsor permission to use their names and likenesses. The Grand Prize winner will be notified by phone, email and/or overnight courier at Sponsor’s sole discretion, and will be required to complete an affidavit of eligibility, a liability release and (where legal) a publicity release, which must be returned within time period specified in notification letter, or an alternate winner may be selected. Guest of the Grand Prize winner must complete a liability/publicity release prior to issuance of travel documents.
Each of the non-winning Finalists will receive a Comedy Central stand-up CD/DVD pack valued at approximately Fifty Dollars ($50.00) which will be shipped to the Finalist following the determination of the Grand Prize winner.

No substitutions for the prizes or any of their elements shall apply, except at the election of Sponsor or as may be necessary due to unavailability. In such a case, prize of comparable or greater value will be awarded. Prize is not transferable, assignable, or redeemable for cash. Sponsor responsible only for prize delivery; not responsible for prize utility, quality or otherwise. In the event that any prize component is unavailable for any reason, the remaining elements of the prize shall constitute full satisfaction of Sponsor’s obligation to winner and no additional compensation will be awarded. Any unclaimed and/or unused portion of prize package will be forfeited and will not be substituted.

5. GENERAL: Taxes (including, without limitation, federal, state and local taxes) on prizes and all expenses related to acceptance and use of prizes not specified herein are the sole responsibility of prize recipients. Recipients of prizes valued at Six Hundred Dollars ($600) or more will be issued an IRS 1099 form for the approximate retail value of their prize. (a) By participating, entrants agree (i) to abide by and be bound by these rules and decisions of Sponsor which shall be final in all respects relating to this Sweepstakes, including, without limitation, the interpretation of these Official Rules; (ii) to release, discharge, defend, indemnify and hold harmless the Sweepstakes from any and all claims, charges, injuries, liability, losses and/or damages of any kind resulting from or arising out of their participation in this Sweepstakes and/or their acceptance, use or misuse or possession of any prize received including, without limitation, personal injury, death and property damage; and if chosen as a Finalist or Grand Prize winner (iii) to the use of his/her name, voice, photograph/video, image and/or likeness in connection with this Sweepstakes including the advertising, publicity and promotion of the Sweepstakes, in any manner, in any and all media now known or hereafter devised throughout the Universe, in perpetuity, without compensation (except in Tennessee and where prohibited by law) and without prior approval or inspection, and agrees to provide specific written consent to such use upon request; and (iv) to the announcement of their name, city and state on Sponsor’s website. (b) Sponsor, its officers, directors, affiliates, subsidiaries, agencies, promotional suppliers, Administrator, agents and representatives and their respective employees are not responsible and shall not be liable for: (i) any telecast or cable malfunctions, human error, satellite transmission failures, or delayed telecasts or preemption of or the failure of a cable affiliate to televise Comedy Central in all or any parts of the standard Comedy Central broadcast territory; (ii) electronic, hardware or software program, network, internet or computer malfunctions, failures or difficulties of any kind, including, without limitation, server malfunction or by any error (human or otherwise) which may occur in the processing of entries; (iii) lost, late, misdirected, mutilated, incomplete or illegible entries or postage-due mail; or (iv) any condition caused by events beyond the control of the Sponsor that may cause the Sweepstakes to be disrupted or corrupted. Sponsor reserves the right in its sole discretion to cancel, modify or suspend the Sweepstakes, or any portion thereof, should viruses, bugs or other causes beyond the control of Sponsor corrupt the administration, security or proper play of the promotion, and limit entries to those submitted prior to the action taken, or to proceed in such a manner as may be deemed fair and equitable by Sponsor in its sole discretion. Entry information becomes property of Sponsor. CAUTION: ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW. Internet entry must be made by the entrant only at the authorized web site address. Entries may not be made by any other individual or any entity, and/or originate at any other Internet web site or e-mail address, including, but not limited to, commercial sweepstakes subscription notification and/or entering service sites. Any potential Finalist or Grand Prize winner who entered by any of the methods described above will be disqualified and an alternate Finalist or Grand Prize winner (as applicable) will be selected. In the event of a dispute regarding the identity of the person submitting an online entry, the entry will be deemed to be submitted by the person in whose name the e-mail account is registered at the time of entry. Potential Finalists and Grand Prize winner may be required to provide evidence that they are the authorized account holder of the e-mail address associated with a winning entry. Use of any device to automate entry is prohibited. Sponsor’s decisions in all matters are final and binding.

6. USE OF INFORMATION: Personal information submitted on the Sweepstakes entry form will be collected, stored and processed in a database and will be shared with the Administrator solely for the purpose of administering the Sweepstakes. Such information will not be used for any other purposes than as stated in these rules or as otherwise separately accepted. All photos (if any) submitted in connection with the Sweepstakes shall become the property of Sponsor and will not be returned.

7. WINNER LIST: For a list of winners, mail a self-addressed, stamped envelope to be received by December 31, 2008, to: Comedy Central’s South Beach Comedy Festival Sweepstakes Winners, PMI Station, P.O. Box 750, Southbury, CT 06488-0750. The Grand Prize winner’s name may also be posted online at http://www.comedycentral.com.
